Sr. Officer - Corporate Governance

Job Description

- Role Purpose:

  • To support the Corporate Governance Department in the execution of the Corporate Governance, including the Company Secretarial activities, including the Board and General Assembly meeting events coordination/execution and maintenance of original and electronic records and including translation requirements.
  • To be responsible for translating content between different languages (mainly Arabic and English) as well as proofreading to the overall Risk function and facilitate outsourced translation coordination support to the full Company.
  • To provide administration support and translation services, including regulatory communications, CMA correspondences and Tadawul data uploads and announcements related.
  • To be responsible for working on the linguistic content of a variety of documents, business, technical and legal written materials including campaign materials, letters, reports, articles, books etc..
  • Role includes content development, reading documents, writing and editing copies, preparing summaries, consulting internal/external stakeholders, developing contacts and using necessary computer systems and programs when required.

- Key Accountabilities:

1- Company Secretarial Administrative and Translation Support;

  • Board & Executive Committee Meeting, and public shareholders’ General Assembly (GA) Meeting related:
  • Coordination and preparation of high quality slide packs, materials/papers, soft copy distribution and ensuring printing, binding and hard copy distribution on time through the CRO PA.
  • Preparation of Board resolutions in bilingual format as per instructions.
  • Supporting the execution of the Board meeting / public shareholders’ General Assembly (GA) Meeting events
  • Regulatory correspondence and regulations related:
  • Preparation of translations of regulatory correspondence and regulations from Arabic into English
  • Preparation of regulatory responses in English, Arabic, or bi-lingual form as required
  • Maintenance of Company external communications (CMA, Tadawul and other) in both original form and electronic storage for reference by the CG and overall Risk Division
  • Company Secretarial Administrative activities including CMA/Tadawul data/information uploads and forms completion support
  • Responsible for the translation into Arabic of all the English Tadawul announcements after DCG approval of the English Tadawul announcement version
  • Responsible for the translation from English to Arabic of the Annual Report & Accounts (ARA) and all its sub-sections including the Annual Board (ABR) report.
  • Responsible for the coordination of the bulk overall Risk Division’s Company Secretarial translation related with the outsourced translation services company, e.g. Arabic regulations, articles/materials for the Board etc.

 

2- Company Governance Administrative and Translation Support;

  • Support with administration related tasks including the documenting of P&P master lists, maintenance of a “bible” of P&P and their responsible owners, date of review and including translation amendment support for the various Company Governance
  • Frameworks, Codes, Policies, Procedures, Board and Board Committees’ Charters/Terms of References (TORs), guidelines, and any other associated documentary administrative requirements.
  • Responsible for the coordination of bulk overall Risk Division’s Corporate Governance translation related with the outsourced translation services company, e.g. the initial P&P, TORs , Governance Frameworks, Codes etc.

3- Arabic Conceptualization, Production & Translation, Copy Preparation;

  • Coordinate the Risk Division outsourced translation tasks with the external translation services provider for the bulk volumes. Non-Risk Departments are responsible for their own translation activities and associated costs.
  • Be responsible for driving Arabic concepts within the Risk Division. To originate concepts in Arabic in line with Arabic language and cultural insights and translation of the same into English.
  • Manage Arabic copywriting, coaching and building of the Arabic writing offering of the Division.
  • Read through original Risk division materials and rewrite it into the target language, ensuring grammatical accuracy, appropriateness and consistency of the different materials produced by the Risk Division.
  • Work hands-on as a copywriter, not only translating (from Arabic to English and English to Arabic) but originating Arabic copy that is strategically sound, original and persuasive for existing Risk Departments and relating pitches, and support/expertise on a wide variety of media.
  • Write-up creative concepts and campaigns for presentation to the Risk teams and other BA stakeholders.

4- Production, Risk Division Culture & Knowledge and Content Creation;

  • Solicit “the right information” upfront translating to a better product the first time.
  • Attend briefing sessions with the Risk Division Leadership.
  • Use specialist dictionaries, thesauruses and reference books as part of daily work to ensure that best quality language is used to communicate the content in question.
  • Use appropriate research tools to research corporate governance, company secretarial, legal and technical terminology to find the most appropriate language for use in the appropriate context.
  • Retain and develop specialist knowledge on specific technical terms and language.
  • Provide support to the Risk Division Leadership with summary/written translation of letters, memos, content, manuscripts, admin and financial documents as required. Texts may include scientific, technical, commercial, literary, legal and educational documents.
  • Support the various Risk departments as required subject to Director - Corporate Governance, or Chief Risk Officer (CRO) approval.
  • Understand the roles and responsibilities of the full Risk function (including Legal, Risk Management, Internal Audit and Compliance) and manage their involvement appropriately.
  • Ensure professional presentation of concepts.
  • Maintain effective communication with all relevant internal and external contacts.
  • Manage own time and output in line with the requirements and deadlines.
  • Collaborate closely with Bupa Arabia Marketing and Corporate Affairs Teams for the Risk Division’s internal business communications and campaigns.

5- Other;

  • Any other ad-hoc business related task or activity in support of the Corporate Governance Department, or the overall Risk Division as per the instruction of the Director – Corporate Governance or the Chief Risk Officer.

Skills

- Education:

  • Tertiary qualification, degree preferred, in business administration, communication, languages or equivalent.
  • Legal and/or Risk Management completed courses preferred.

 - Experience Fields:

  • Ability to work with confidential information and maintain the confidentiality of the same is essential.
  • Excellent spoken, written and reading ability in both Arabic and English essential.
  • Arabic to English and English to Arabic translation experience essential.
  • Experience of Corporate Governance and Company Secretarial, exposure to Board members and Executives, and Board / General Assembly meetings, including coordination and preparation of high quality presentation materials, supporting papers and minutes, greatly preferred.
  • Excellent written, interpersonal and oral communication and presentation skills (both English and Arabic) essential.
  • Willingness and ability to work flexible hours, demonstrable skills in admin., organization and time management.
  • Attention to detail and excellent proofreading skills, resourceful and detailed researcher.
  • Strong customer service orientation, a team player with the ability to establish collaborative working relationships.
  • Flexibility and willingness to react quickly to the changing demands of the business and demonstrable problem solving and decision making skills.
  • Ability to multi-task and to support cross-department/cross functional initiatives and relations.

- Years of Experience:

  • 2+ years in a corporate environment of a financial institution (listed preferred).
  • 2+ years in writing English and Arabic copy for an advertising agency or similar.
  • Minimum of 2 years of experience in related fields.
